Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "Customer") and Anujiv LLP, a limited liability partnership organized under the laws of India ("Clippings", "we", "us", or "our"), governing your access to and use of Clippings at https://useclippings.com and any related applications, APIs, and services (together, the "Service").

By creating an account, clicking "I agree," or otherwise using the Service, you accept these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you represent that you meet these requirements and that your use does not violate any law applicable to you.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@useclippings.com of any unauthorized use. We may suspend or terminate accounts that provide false information or violate these Terms.

3. The Service

Clippings is a service operated by Anujiv LLP and available at useclippings.com. Clippings helps you turn a single piece of source content (for example, a long-form recording or piece of writing) into more content — clips, drafts, and other derived material — in your own voice. The Service is provided on a subscription basis with the plans described at https://useclippings.com ("Plans": Free, Starter ($10/month), Growth ($25/month), and Enterprise (custom volume — contact us)), billed monthly. There is also a permanent Free tier (3 clips per month). We may add, change, or discontinue features at our discretion; we'll give reasonable notice of changes that materially reduce functionality on a paid Plan.

AI-generated output. The Service uses third-party AI/large-language-model providers to generate, transform, or summarize content from material you provide (see Section 9 and our Privacy Policy for which providers). AI-generated output may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing AI-generated output before relying on, publishing, or distributing it.

4. Subscription, Billing & Auto-Renewal

  • Fees are billed in advance, monthly, in USD, via our payment processor,

Dodo Payments (see Section 5).

  • There is no free trial. A permanent Free tier (3 clips per calendar month, no card

required) lets you try Clippings before subscribing; paid access begins immediately when you subscribe to a paid Plan.

  • Subscriptions automatically renew at the end of each billing period for the same Plan and

duration, at the then-current price, until you cancel. We will present renewal price, frequency, and cancellation instructions clearly before you subscribe, as required by applicable auto-renewal laws (e.g. California's Automatic Renewal Law and similar laws in other US states).

  • You can cancel auto-renewal at any time from your account settings or by contacting

support@useclippings.com; cancellation takes effect at the end of the current billing period. We will send a renewal reminder before any renewal that meaningfully changes in price or term, where required by law.

  • We may change Plan pricing on notice; continued use after a price change takes effect

constitutes acceptance for future renewals.

  • All fees are non-refundable once paid, except as described in our

Refund Policy — read it before subscribing, especially the immediate-access waiver for digital content.

5. Payments, Merchant of Record & Who You Contract With

Payments are processed by Dodo Payments, which acts as the merchant of record for your purchase. This means that, for the payment transaction, Dodo Payments (not Anujiv LLP) is the legal seller/reseller of record to you: Dodo Payments is the entity that appears on your card or bank statement, issues your receipt/invoice, and calculates, collects, and remits any consumption tax that applies in your location (for example EU/UK VAT, other countries' GST, or US sales tax) at the applicable local rate. Dodo Payments is also the counterparty for payment disputes and chargebacks. Your purchase is therefore also subject to Dodo Payments' own buyer terms and privacy policy.

Anujiv LLP is the provider of the Service — we own and operate Clippings, deliver it to you, provide support, and set the refund-eligibility rules in our Refund Policy. Anujiv LLP is a supplier to Dodo Payments in the merchant-of-record chain; Anujiv LLP does not itself charge you the buyer-facing consumption tax on the sale, because Dodo Payments handles that as merchant of record. Anujiv LLP is separately responsible for its own tax obligations in India (including income tax and any GST obligations on the payouts it receives from Dodo Payments) — see the note in Section 5a. Which specific Dodo Payments contracting entity is your seller of record may vary with your region; your Dodo Payments receipt will identify it.

5a. Tax note (India seller)

Clippings is operated from India and sold to customers worldwide through a merchant of record. The buyer-facing consumption tax on your purchase is handled by Dodo Payments as described above, so you are charged the correct local tax (if any) at checkout by Dodo Payments. Anujiv LLP's own Indian tax position on the payouts it receives (including whether its supply qualifies as a zero-rated export of services under India's IGST Act and its GST filing obligations) is a matter between Anujiv LLP and the Indian tax authorities and does not change what you are charged. This note is general information, not tax advice.

6. Acceptable Use

You agree to comply with our Acceptable Use Policy (the instantiated version of which is also in this folder, `acceptable-use.md`), which is incorporated into these Terms by reference. Violating it is a material breach and may result in suspension or termination without refund.

7. Your Content & License

You retain ownership of content you upload or create using the Service ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely as necessary to provide, maintain, and improve the Service (including sending it to the third-party AI providers described in our Privacy Policy for processing you request). You represent that you have all rights necessary to grant this license and that Customer Content does not infringe any third party's rights.

8. Our Intellectual Property

The Service, including its software, design, and branding (excluding Customer Content), is owned by Anujiv LLP or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms. No other rights are granted.

9. Third-Party Services

The Service relies on third-party infrastructure and AI providers — currently Supabase (database, authentication, and file storage) and OpenRouter (an LLM routing gateway that forwards requests to underlying AI model providers, currently including Anthropic; subject to change) — to operate. See our Privacy Policy for the full, current list. We are not responsible for the acts or omissions of independent third-party services, though we select and monitor them as part of operating the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE. Nothing in this section limits any consumer-law rights that cannot lawfully be excluded in your jurisdiction.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Anujiv LLP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. This limitation does not apply where prohibited by law (for example, it does not limit liability for death, personal injury, or fraud, or exclude statutory consumer rights that cannot be waived).

12. Indemnification

You agree to indemnify and hold Anujiv LLP harmless from claims arising from your Customer Content, your violation of these Terms, or your violation of any third party's rights.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for material breach of these Terms, non-payment, or as required by law, with notice where reasonably practicable. On termination, your license to use the Service ends; Sections 4 (billing amounts already due), 7 (as to license already granted), 10, 11, 12, and 15 survive. See the Privacy Policy for how we handle your data after account closure.

14. Changes to These Terms

We may update these Terms from time to time. We'll post the updated Terms at https://useclippings.com/legal/terms with a new effective date, and for material changes we'll provide additional notice (e.g. email or in-app notice) before the changes take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to the mandatory consumer-protection rights described below, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh, India will have exclusive jurisdiction over any dispute arising out of these Terms. Nothing in these Terms limits any right you have as a consumer: if you are in India, you may seek redress from the consumer dispute redressal commissions established under India's Consumer Protection Act, 2019; and if you are a consumer elsewhere (for example in the EEA, UK, or a US state), any consumer-protection right or forum that your local law gives you and that cannot lawfully be waived continues to apply despite this Section.

16. Grievance Redressal (India)

In accordance with India's Consumer Protection (E-Commerce) Rules, 2020 and the Digital Personal Data Protection Act, 2023, you can raise any complaint about the Service, a transaction, or your personal data with our Grievance Officer:

We will acknowledge a complaint within 48 hours and aim to resolve it within one month of receipt, as required by the Consumer Protection (E-Commerce) Rules, 2020. Complaints specifically about personal data will be handled within the timeline required by the Digital Personal Data Protection Act, 2023 (see our Privacy Policy).

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy, and Acceptable Use Policy, are the entire agreement between you and Anujiv LLP regarding the Service. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent.
